Terms of Service and Sale (TOS)

Preamble

These Terms of Service and Sale (hereinafter the “TOS”) form a legally binding contract between the User and Skaff Conseil SASU, a simplified joint-stock company registered in France under number SIRET 945 201 804 00016, headquartered at 1 rue docteur Mazet, 38000 Grenoble, France, operating the JoPrep platform (hereinafter the “Platform”). Access and use of the Services provided by the Platform imply full and unreserved acceptance of these TOS. These TOS prevail over any contradictory document.

1. Definitions

• “User”: any individual of legal age or legal entity who has created an account on the Platform and uses the Services.
• “Account”: the personal space created by the User to access the Services.
• “Platform”: all digital infrastructures and services provided under the name “JoPrep”.
• “Services”: services available through the Platform, including AI-assisted CV and cover letter generation, interview simulations, and coaching tools.
• “AI”: artificial intelligence technologies integrated into the Platform, notably via the API provided by OpenAI.
• “Generated Content”: any text, information, or recommendation produced by the Platform through AI algorithms.
• “Personal Data”: any information relating to an identified or identifiable person, collected by the Platform as part of the Services, as defined by GDPR (Regulation EU 2016/679).
• “Subscription”: paid plan granting access to Services for a fixed term (monthly, quarterly, or annual).
• “Sub-processor”: any third-party provider involved in data processing or service delivery (e.g., OpenAI, hosting providers).
• “Force Majeure”: any unforeseeable and irresistible event under French Civil Code Article 1218 preventing contractual obligations.
• “User Content”: all information, documents, and data provided by the User via the Platform.
• “Party(ies)”: refers to the User or JoPrep, individually or collectively.

2. Acceptable Use Policy

The User undertakes to use the Platform in compliance with applicable laws and these TOS. The User shall not:

• Use the Platform for unlawful, fraudulent, defamatory, discriminatory, or disruptive purposes;
• Impersonate any third party or provide false information;
• Infringe intellectual property rights of JoPrep or third parties;
• Attempt unauthorized access to JoPrep’s systems;
• Introduce viruses, malware, or malicious code;
• Extract, copy, or mass-scrape Platform data;
• Disrupt or attempt to impair Platform performance;
• Use the Services for unfair competition purposes.

In case of violation, JoPrep reserves the right to suspend or terminate the User’s Account without notice or compensation and to pursue legal remedies.

3. Services Provided

The JoPrep Platform provides Users with digital tools to support their career development and job search, including:

• Creation and optimization of CVs, adapted to job market standards and Applicant Tracking Systems (ATS);
• AI-assisted drafting of personalized cover letters;
• Interview preparation and simulations for interactive practice;
• Access to career advice, dashboards, and orientation tools.

These Services are provided as guidance only and do not constitute a guarantee of recruitment, interview success, or employment.

4. Third-Party Services (OpenAI)

Some Services rely on the API provided by OpenAI. The User acknowledges and accepts that:

• Content generated partly originates from OpenAI technologies;
• Use of the Platform implies acceptance of OpenAI’s terms: https://openai.com/policies;
• OpenAI may act as a sub-processor for certain data;
• JoPrep shall not be liable for limitations, unavailability, or errors related to OpenAI services.

By using the Platform, the User consents to certain data being processed by OpenAI under its privacy policies.

5. AI Disclaimer

Content generated by artificial intelligence (CVs, cover letters, interview simulations, career advice) is provided for informational purposes only. The User expressly acknowledges that:

• Content may contain errors, approximations, or inaccuracies;
• Content does not constitute legal, professional, or personalized advice;
• The User must review, correct, and adapt the content before any use;
• JoPrep makes no guarantee as to accuracy, completeness, or suitability for a specific job application;
• JoPrep cannot be held liable for rejected applications, failed interviews, or damages arising from reliance on AI-generated content without human review.

The User remains solely responsible for documents shared with third parties.

6. Personal Data and GDPR Compliance

JoPrep acts as the data controller under GDPR (Regulation EU 2016/679). Data collected includes identity, contact details, professional information, uploaded documents, and usage data. These data are used for:

• Providing contractual Services;
• Managing subscriptions and billing;
• Improving Services and developing new features;
• Complying with legal obligations.

Data are retained for the subscription period plus statutory retention periods (e.g., 5 years for billing). Data are hosted within the EU. For transfers outside the EU, appropriate safeguards (standard contractual clauses, certifications) will be applied.

Users have rights of access, rectification, erasure, restriction, objection, and portability. Requests may be addressed to privacy@joprep.com. In case of a data breach, JoPrep will notify the CNIL and affected Users as required by GDPR.

7. Intellectual Property

1. Protected Elements. All components of the JoPrep Platform (texts, images, graphics, logos, trademarks, databases, software, algorithms, source code, etc.) are protected under French Intellectual Property law.
2. Ownership. These elements remain the exclusive property of Skaff Conseil SASU and/or its partners. They may not be reproduced, used, copied, translated, adapted, or exploited without prior written consent.
3. User Content. Users retain full ownership of their data and documents (CVs, letters, personal info). However, Users grant JoPrep a non-exclusive, worldwide, royalty-free license to host, store, process, and display such content solely to deliver the Services.
4. Infringement. Unauthorized use of Platform content may constitute infringement and result in civil and/or criminal liability.

8. Confidentiality

1. Each Party undertakes to keep confidential all information, documents, data, and elements disclosed under these TOS.
2. Confidentiality obligations do not apply to information:
   • Already public without breach of these TOS;
   • Already known by the receiving Party prior to disclosure;
   • Lawfully disclosed by a third party;
   • Required to be disclosed by law or competent authority.
3. This obligation survives for five (5) years after termination of the agreement.

9. Indemnification

The User agrees to indemnify and hold harmless JoPrep, its directors, employees, agents, and partners against any claim, action, damages, losses, liabilities, costs, or expenses (including legal fees) arising from:

• Misuse or unlawful use of the Platform;
• Breach of these TOS;
• Provision of false, inaccurate, or misleading data;
• Violation of third-party rights (intellectual property, privacy, image, etc.).

This indemnity obligation shall survive termination or expiration of these TOS.

10. Liability and Warranties

1. JoPrep is only bound by a best-efforts obligation in providing the Services. No result or employment guarantee is given.
2. JoPrep shall not be liable for:
   • Service interruptions due to maintenance, technical failures, or force majeure;
   • Improper or unlawful use of the Platform by the User;
   • Indirect or immaterial damages such as job loss, lost income, lost opportunities, data loss, or reputational harm.
3. Total liability is expressly limited to the amount paid by the User for their Subscription over the last twelve (12) months.
4. No claim may be brought against JoPrep after one (1) year from the event.

11. Force Majeure

JoPrep shall not be liable for non-performance or delay caused by events of force majeure as defined by French law (Civil Code article 1218). Examples include natural disasters, pandemics, strikes, wars, terrorism, cyberattacks, power outages, or government actions. Obligations are suspended for the duration of such events.

12. Subscriptions and Financial Terms

1. Prices (VAT included):
   • Monthly: €20
   • Quarterly: €45
   • Yearly: €150
2. Payments are made in advance by credit card or other secure methods. Subscriptions renew automatically unless cancelled before the renewal date.
3. In case of payment default, JoPrep may immediately suspend Services until regularization.
4. Users may cancel at any time via their Account. Cancellation takes effect at the end of the current period. No pro-rata refund will be issued.
5. Under EU consumer law, Users have a 14-day withdrawal right. However, if Services start before expiry of this period, the User expressly waives this right.

13. Miscellaneous

1. Entire Agreement. These TOS constitute the entire agreement between the Parties and supersede any prior agreement.
2. Severability. If a provision is held invalid, the remaining provisions remain effective.
3. No Waiver. Failure by JoPrep to enforce a provision shall not be deemed a waiver.
4. Assignment. The User may not assign rights or obligations without JoPrep’s prior written consent.
5. Notices. Any notice shall be valid if sent by registered mail or email to the address in the User Account.
6. Language. These TOS are drafted in English. In case of translation, the English version shall prevail.
